1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the services provided by NOXX & CO (“NOXX & CO”, “we”, “our”, or “us”), whether accessed via our website (www.noxxandco.com), in person, by telephone, or through any other means. By engaging our services or visiting our website, you agree to comply with these Terms. If you do not agree, you must refrain from using our services.

NOXX & CO is a professional advisory firm based in Mayfair, London. We specialise in accounting, legal, and corporate consultancy services, operating exclusively within the United Kingdom.

3. Office Visits
Please note that all office visits are strictly by appointment only. Walk-in visits are not accepted. Clients, partners, or suppliers wishing to meet in person must book an appointment in advance via email or telephone.
4. Our Services
NOXX & CO provides professional consultancy and corporate services, including but not limited to strategic advisory, project facilitation, business development, and regulatory support. The specific nature and scope of services will be outlined in a written service agreement, proposal, or engagement letter between the parties.
We reserve the right to refuse service, withdraw, or modify our offerings at any time, subject to applicable laws and contractual obligations.

5. Fees & Payments
All fees for our services will be agreed in writing prior to the commencement of work. Invoices are payable within the timeframe specified on the invoice (usually 14 or 30 calendar days from date of issue), unless otherwise stated in the engagement terms.
Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend or terminate services in the event of non-payment.
6. Confidentiality
We are committed to maintaining the confidentiality of any information disclosed to us in the course of our engagement, except where disclosure is required by law or regulatory obligation. Similarly, you agree not to disclose any confidential information received from us without our written consent.
7. Data Protection
All personal data collected by NOXX & CO is handled in accordance with our Privacy Policy and the applicable UK data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By using our services, you consent to the processing of your data in line with our Privacy Policy.
8. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in documents, reports, presentations, designs, and other deliverables created by us remain our exclusive property. You are granted a non-exclusive, non-transferable licence to use such materials for the purposes for which they are supplied.
9. Client Responsibilities
- Provide timely, accurate, and complete information required to perform our services.
- Co-operate with our team as reasonably required.
- Notify us in writing of any change in your circumstances which may affect the delivery of our services.
10. Limitation of Liability
To the fullest extent permitted by law, NOXX & CO shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or business opportunity. Our liability for any claim shall not exceed the total fees paid by you for the specific service giving rise to the claim, unless otherwise required by law.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability which cannot be excluded by law.
11. Cancellation and Termination
Either party may terminate an engagement by giving written notice, subject to any notice period or conditions set out in the service agreement. Upon termination, you remain liable for all fees and expenses incurred up to the date of termination.
We reserve the right to cancel or suspend an engagement without liability if you breach these Terms or any legal obligation.
12. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, strikes, war, or governmental restrictions.ither party may terminate an engagement by giving written notice, subject to any notice period or conditions set out in the service agreement. Upon termination, you remain liable for all fees and expenses incurred up to the date of termination.
We reserve the right to cancel or suspend an engagement without liability if you breach these Terms or any legal obligation.
13. Complaints
If you are dissatisfied with our services, you should contact us in writing at info@noxxandco.com. We aim to respond to all complaints within 10 working days and resolve them promptly in accordance with our internal complaints handling policy.
You also have the right to lodge a complaint with the Information Commissioner’s Office (ICO) regarding any data protection concerns.
14. Governing Law & Jurisdiction
These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
15. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on our website and will become effective upon posting. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
